Part I. User Responsibilities  第一部份 -    使用者之責任 User Eligibility  使用者資格 In order to use the Service, you must register for a XUXU Account. You agree that you will register for and maintain no more than one account. You must be at least 18 years of age to register for an account. XUXU is for personal use only and not for company or other forms of legal entities. No Duplicate/Multiple Accounts  禁止多重戶口 Should you register for more than one XUXU Account, XUXU reserves the right to terminate all of your accounts and will restrict you from the system going forward. XUXU reserves the right to nullify any rights and claims of the terminated accounts' original owners, including the account balances. Personal Registration Information 個人登記資料 You agree to provide true, accurate and complete registration information and to maintain and promptly update your information as applicable. If any information you provide is untrue, inaccurate, not current, or incomplete, without limiting other remedies, XUXU has the right to terminate your use of the Service and XUXU, its agents, suppliers, and subcontractors have the right to recover from you any costs or losses incurred as a direct or indirect result of the inaccurate or incomplete information. You agree not to impersonate any person. You authorize XUXU and its agents, suppliers and subcontractors to make any inquiries they consider necessary to validate your registration. Close Account  結束戶口 You may close your account at any time. Upon closure of an account, the account balances, after deducting any outstanding fees, will be returned to the right account owner.  Any other interests related to the account will be automatically forfeited. Escheat and Expiration of idle accounts  沒收閑置期滿戶口 If you do not access your account for a period of two years, it will be terminated. After the date of termination, you will have 90 days to re-instate your XUXU account, after which any interests in the account will be forfeited. Password  密碼 XUXU personnel will never ask for your password. You may not divulge your account password to anyone else, nor may you use anyone else's password. XUXU is not responsible for losses incurred by users as the result of their misuse of password. Correct and Operational Email  有效之通訊電郵 You agree that you have access to a current and operational email address and access to the Internet. You have sole responsibility for providing XUXU with a correct and operational email address. XUXU will not be liable for any undelivered email communications or any costs you incur for maintaining Internet access and an email account. You must promptly notify XUXU of any change in your postal mailing address or email address. Electronic Communications  電子資料交換/通訊 To the fullest extent permitted by applicable law, this Agreement and any other agreements, notices or other communications regarding your account and/or your use of the Service ("Communications"), may be provided to you electronically and you agree to receive Communications in an electronic form. Electronic Communications may be posted on the pages within the XUXU website and/or delivered to your e-mail address. You will print a copy of any Communications and retain it for your records. All Communications in either electronic or paper format will be considered to be in "writing," and to have been received after posting or dissemination, whether or not you have received or retrieved the Communication. XUXU reserves the right but assumes no obligation to provide Communications in paper format. Your consent to receive Communications electronically is valid until you revoke your consent by notifying XUXU of your decision to do so, by sending an email message to help@xuxu.com. If you revoke your consent to receive Communications electronically, XUXU may terminate your right to use the Service. No Spam  禁止電子郵件濫發 You agree not to use unsolicited email, message board postings, usenet, or similar methods of mass messaging (spam) to get any advantages or for any purposes. The use of spam to promote the Service has strict negative consequences. We will immediately and permanently terminate the account of any User who has used unsolicited email to gain referrals. In addition, you may be subject to other legal consequences under applicable law if you send unsolicited email. Our anti-spam policy is intended to protect our users, the Internet, and us. Privacy  私隱權 View our Privacy Policy. You agree that you have had an opportunity to review, download or print our Privacy Policy. By registering with XUXU you agree to all the terms in our Privacy Policy. Hacking  黑客  (電腦駭客) 行為 If you use, or attempt to use the Service for other purposes including but not limited to hacking, tampering, modifying or otherwise corrupting the security or functionality of Service, your account will be terminated and you will be subject to damages and other penalties, including criminal prosecution where available. Assignability  戶口權益不得轉移 You may not transfer any rights or obligations you may have under this Agreement without the prior written consent of XUXU. XUXU reserves the right to transfer any right or obligation under this Agreement without your consent. Indemnification 免責條款 You agree to indemnify and hold XUXU, its affiliates, officers, directors and employees harmless from any claim, action, demand, loss, or damages (including attorneys' fees) made or incurred by any third party arising out of or relating to your use of the Service. Choice of Law  法律 This Agreement is governed by the laws of  BVI as such laws are applied to agreements entered into and to be performed entirely within BVI. Arbitration  仲裁 Any controversy or claim arising out of or relating to this Agreement or the provision of Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of a place selected by XUXU. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the place selected by XUXU, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Either you or XUXU may seek any interim or preliminary relief from a court of competent jurisdiction in the selected place necessary to protect the rights or property of you or XUXU (or its agents, suppliers, and subcontractors) pending the completion of arbitration. Protection Against Unauthorized Access  防衛非法盜用 It is very important that you contact us at once if you believe your username or password has been compromised.In case of unauthorized transactions, errors or questions about your account, you should notify XUXU through email. You must tell us your actual name, username, primary email address, and describe the error or the transaction you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information. We will email you an explanation and the result of our investigation.

Part II. Rights and Disclaimers of XUXU  第二部份 -  公司權利及免責聲明 Miscellaneous Disclaimers 免責聲明事項 (1.1) XUXU reserves the right to hold any funds for reasons to protect against the interests of XUXU. (1.2) XUXU will not have any liability in connection with any unauthorized interception or use of data relating to you or the XUXU service; any inability to use or access the service or the XUXU website for any reason; any actions or transactions by an individual that uses your user name and password; or any cause over which XUXU does not have direct control, including problems attributable to computer hardware or software (including computer viruses), telephone or other communications, or Internet service providers. (1.3) In no event shall XUXU be liable (A) for damages caused other than by intentional misconduct or (B) for any indirect, special, incidental, consequential or punitive damages whatsoever (including, but not limited to, damages for lost profits, disclosure of confidential information, or loss of privacy), arising out of or in any way related to the use of or inability to use business service or the XUXU website or any of the associated services, even if XUXU has been advised of the possibility of such damages. In no event shall XUXU be liable for any act or omission of any third party (such as, for example, any provider of telecommunications services, internet access or computer equipment or software) or any circumstances beyond our control (such as, for example, a fire, flood, or other natural disaster, war, riot, strike, act of civil or military authority, equipment failure, computer virus, or failure or interruption of electrical, telecommunications or other utility services).     Restrictions 一般限制 XUXU, at its sole discretion, reserves the right to restrict an account for any one of the events listed below. (2.1) Unconfirmed identity (2.2) Opening multiple accounts (2.3) Inability of Postal Service to deliver letter to the registered address associated with the account (2.4) Reports of someone other than the intended recipient receiving our mail (2.5) The Name on the bank/credit card account associated with the XUXU account does not match the name registered on the XUXU account (2.6) Sending unsolicited, commercial email or posting referral links on web sites where they are not permitted (2.7) The account has been used in or to facilitate fraudulent activity (2.8) Use of an anonymizing proxy. Termination 終止戶口 XUXU, in its sole discretion, reserves the right to terminate this Agreement, access to its web site, or access to Service without notice for any reason and at any time.  XUXU reserves the right to suspend or cancel any user account without publishing any reason. Trademarks 商標 XUXU.com, XUXU, xuxu, and all related logos, products and services described in this website are either trademarks or registered trademarks of XUXU Ltd., XUXU Inc., or their licensors, and (aside from "Use of Logos" below) may not be copied, imitated or used, in whole or in part, without the prior written permission of XUXU. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of XUXU and may not be copied, imitated, or used, in whole or in part, without the prior written permission of XUXU. Use of Logos 公司標誌 Notwithstanding the above, logos provided by XUXU through its partnership programs may be used.  These Logos may not be altered, modified, or changed in any way, or used in a manner that is disparaging to XUXU or the XUXU service. Logos may not be displayed in any manner that implies sponsorship or endorsement by XUXU. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. GENERAL DISCLAIMER 一般免責聲明 XUXU does not represent or endorse the accuracy or reliability of any of the information, content or advertisements (collectively, the "Materials") contained on, distributed through, or linked, downloaded or accessed from any of the services contained on this website (the "Service"), nor the quality of any products, information or other materials displayed, purchased, or obtained by you as a result of an advertisement or any other information or offer in or in connection with the Service (the "Products"). You hereby acknowledge that any reliance upon any Materials shall be at your sole risk. XUXU reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of the Service or the Materials. Users' positions in the particular traded items defined by XUXU and the XUXU Exchange in general are in no way related to any real commodities of real interests.
